Terms of Service
These Terms apply to the QNSI website, documentation portal, and QNSI Cloud services.
Last updated: June 1, 2026 · Effective date: June 1, 2026
HEOSSI (PTE.) LTD ("HEOSSI", "we", "us", "our") provides the QNSI website, documentation, and QNSI Cloud services.
This document combines the Terms of Use, Service and the Privacy Policy (together, "Terms") for:
- QNSI website: https://qnsi.heossi.com
- QNSI Cloud: https://cloud.qnsi.heossi.com
- Developer docs: https://docs.qnsi.heossi.com
Private, sovereign, and air-gapped deployments delivered into customer-controlled environments are governed by separate negotiated agreements.
Terms of Use, Service and Privacy Policy
By accessing or using QNSI (including our website, documentation, console, APIs, SDKs, and related services), you agree to be bound by these Terms.
If you are using QNSI on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes the organization.
Eligibility and accounts
You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
Acceptable use
The Acceptable Use Policy is incorporated into these Terms.
You agree not to:
- Use QNSI in violation of applicable laws or regulations.
- Attempt to bypass authentication, authorization, or tenant isolation controls.
- Probe, scan, or test the vulnerability of QNSI systems except with explicit written permission.
- Interfere with, disrupt, or degrade the availability of the services.
- Upload malware, exploit code, or conduct phishing or fraud through the platform.
- Reverse engineer, decompile, or attempt to extract source code except as permitted by law and applicable open-source licenses.
- Use QNSI to process or store unlawful content.
We may suspend or restrict access if we reasonably believe your use violates these Terms or poses a security or operational risk.
Security and customer responsibilities
You are responsible for securing your account, credentials, API keys, and any client applications you build.
You are responsible for the legality, accuracy, and integrity of data you upload or process ("Customer Data").
You agree to promptly notify us of any suspected unauthorized access to your account.
APIs, SDKs, and service limits
Your use of APIs and SDKs is subject to technical and operational limits (including request rate limits), as documented. Excessive usage may be throttled.
You must not use the APIs to scrape, benchmark, or copy the services in a way that materially competes with QNSI.
Cloud, resource, and infrastructure terms
QNSI Cloud is delivered as a managed service and is operated on top of third-party infrastructure providers (including AWS). HEOSSI is responsible for operating QNSI Cloud; you do not contract with AWS through your use of QNSI Cloud.
You acknowledge that the services may depend on network connectivity, cloud regions, availability zones, and third-party dependencies. We may enforce quotas, capacity controls, and fair-use limits to protect service reliability and other tenants.
You may not attempt to access underlying cloud resources directly, bypass controls, or use QNSI Cloud to mine cryptocurrency or perform unauthorized compute workloads.
Fees, billing, and refunds
Fees and billing terms (if applicable to your tier) are presented in the QNSI Cloud console and/or in a separate written agreement.
Unless required by law or expressly stated otherwise, fees are non-refundable.
The Billing, Renewal, Cancellation, and Refund Policy is incorporated into these Terms.
Intellectual property, licensing, and software distribution
We retain all rights, title, and interest in and to QNSI as a service (including its branding, UI, and proprietary components), except for open-source components.
Repository source code is multi-licensed per-package. Refer to the applicable LICENSE files in the repository, including the repository-level licensing overview.
- Public SDK packages (packages with publishConfig.access: "public") are licensed under the Apache License 2.0.
- Core platform packages may be licensed under the Business Source License 1.1 (with a Change License of GPL-2.0-or-later), as described in the repository licensing overview.
- Third-party open-source dependencies are licensed by their respective authors under their own licenses.
Your right to use SDKs, CLI tools, or other distributed software is governed by the applicable open-source license(s) for those components. Your right to use QNSI Cloud is governed by these Terms and any separate agreement.
You may not copy, redistribute, resell, sublicense, or provide access to QNSI Cloud or its proprietary components except as permitted by an applicable written agreement.
Beta and preview features
Some services and features may be identified as “Beta”, “Preview”, or similar. These features may be unstable and are provided “as-is”. They may change or be discontinued at any time.
Suspension and termination
We may suspend or terminate access to QNSI (in whole or in part) if you violate these Terms, fail to pay applicable fees, or if we reasonably determine that your use presents a security, legal, or operational risk.
You may stop using QNSI at any time.
On termination, accrued payment obligations and provisions that by their nature should survive will continue, including confidentiality, intellectual property, disclaimers, liability limits, indemnities, dispute resolution, and records required by law. You are responsible for exporting Customer Data before access ends.
Disclaimers
QNSI is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
Limitation of liability
To the maximum extent permitted by law, HEOSSI will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business interruption.
To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to us for the services in the 12 months prior to the event giving rise to the claim, or SGD 100 if no fees were paid.
Some jurisdictions do not allow certain limitations; in those cases, liability will be limited to the greatest extent permitted.
Nothing excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence where applicable law prohibits exclusion. Each exclusion, cap, and remedy is intended to operate separately and is subject to the reasonableness requirements of applicable law.
Indemnity
To the extent permitted by law, you will defend and indemnify HEOSSI against a third-party claim to the extent caused by your Customer Data, your material breach of these Terms or the Acceptable Use Policy, or your unlawful or wilfully harmful use of QNSI. HEOSSI must give prompt notice, reasonable cooperation at your expense, and control of the defence, except that you may not settle a claim in a way that admits fault by or imposes a non-monetary obligation on HEOSSI without written consent. This indemnity does not apply to the extent a claim was caused by HEOSSI.
Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, excluding payment obligations. The affected party must use reasonable efforts to mitigate the impact. If a material force-majeure event continues for more than 30 days, either party may terminate the materially affected service on written notice.
Export controls and sanctions
You agree to comply with applicable export controls and sanctions laws. You represent that you are not located in a jurisdiction subject to comprehensive sanctions and are not a denied party.
See the Export Control and Sanctions Policy for the current international-availability conditions.
Governing law and dispute resolution
These Terms are governed by the laws of Singapore, without regard to conflict of laws principles.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules in force when arbitration begins. The seat is Singapore, the language is English, and the tribunal consists of one arbitrator. The tribunal may award costs as permitted by the SIAC Rules. Either party may seek urgent interim relief from a court of competent jurisdiction.
Nothing in these Terms excludes mandatory consumer, privacy, or other rights that cannot lawfully be waived. If an individual consumer is legally entitled to bring a claim in a court or forum in their home jurisdiction, this arbitration clause does not remove that right.
Changes to these terms
We may update these Terms from time to time. Updated versions will be posted at this URL. Your continued use of QNSI after an update becomes effective constitutes acceptance of the updated Terms.
Order of precedence and general terms
If documents conflict, a signed Order Form or negotiated agreement controls, followed by the DPA for personal-data processing, an applicable SLA for availability remedies, these Terms, and then incorporated policies. A marketplace term controls only marketplace billing or distribution where it must.
These Terms and incorporated documents are the entire agreement for their subject. A waiver must be in writing and is not continuing. Invalid provisions are modified to the minimum extent necessary and the remainder continues. The parties are independent contractors; no agency, partnership, fiduciary, employment, or third-party beneficiary relationship is created. You may not assign the agreement without written consent, except as part of a genuine merger or sale of substantially all relevant assets; HEOSSI may assign to an affiliate or successor with notice. Notices may be delivered to the account or legal contact on record and are effective when received.
